Terms of Service

1. Agreement to terms

These Terms of Service govern your use of this website and your engagement with Amicus Technology Consulting, LLC for technology consulting and related professional services. By accessing the site or entering into a statement of work, master services agreement, or other written contract with Amicus Technology Consulting, LLC, you agree to these terms as supplemented by any project-specific agreement.

2. Services and reliance on professional judgment

Amicus Technology Consulting, LLC provides advisory, architecture, assessment, and implementation-support services relating to information technology. Deliverables may include recommendations, documentation, workshops, and technical guidance. You acknowledge that technology environments vary and that you are responsible for decisions to implement recommendations within your organization, including coordination with your internal teams, vendors, and legal counsel.

3. Fees, expenses, and third-party costs

  • Fees for consulting services are set forth in the applicable proposal or agreement and are generally invoiced according to the schedule stated there.
  • Third-party software, cloud usage, licensing, or contractor costs are typically billed directly to you or reimbursed as agreed in writing; unless expressly included, such costs are not part of our professional fees.
  • Failure to pay undisputed amounts when due may result in suspension of work until payment is received, subject to the terms of your agreement.

4. Intellectual property and client materials

You retain ownership of your pre-existing materials and data. Upon full payment of fees for a given engagement, Amicus Technology Consulting, LLC grants you a license to use deliverables created specifically for you under that engagement for your internal business purposes, unless otherwise stated in writing. Amicus Technology Consulting, LLC retains ownership of its general methodologies, templates, tools, and non-client-specific know-how. You grant Amicus Technology Consulting, LLC the right to use your materials solely as needed to perform the services.

5. Limitation of liability

To the maximum extent permitted by applicable law, Amicus Technology Consulting, LLC is not liable for any indirect, incidental, special, consequential, or punitive damages, or for loss of profits, revenue, data, or goodwill, arising from or related to the services or this website. Our aggregate liability for any claim arising out of or related to the services is limited to the fees paid to Amicus Technology Consulting, LLC for the specific engagement giving rise to the claim during the twelve (12) months preceding the claim, except where prohibited by law.

6. Governing law and notices

These terms are governed by the laws of the State of Missouri, excluding conflict-of-law rules, except where preempted. For contractual notices, use the contact information on this site or the addresses specified in your agreement.
